Terms of Use

These Terms of Use (the "Terms") govern your use of the Arachi platform (arachi.co and related services, the "Service") provided by the operator of the Arachi platform ("Arachi", "we"). By accessing, registering for or using the Service you agree to the Terms. If you do not agree, do not use the Service.

1. Arachi's role

Arachi is a technology tool for preparing freight requests for quotation (RFQ), sending them to selected carriers, and collecting and comparing the offers received. Arachi provides intermediary software.

Arachi is not a freight forwarder, broker, carrier, agent or insurer. We do not take possession of, store or transport cargo, set transport prices, or change or endorse offers. Arachi is not a party to any contract between a shipper and a carrier, or to any arrangement between them.

2. Liability for transport and offers

All contracts for the carriage of goods are made directly between the Shipper (customer) and the Carrier. Arachi is not responsible for:

• loss of, damage to, delay of or non-delivery of cargo;
• the actions of a carrier or customer, failure to perform obligations, non-payment, or disputes between them;
• the accuracy, completeness or performance of offers, prices, times and terms given by carriers;
• the accuracy of information in carrier or forwarder profiles in the catalogue.

3. Accounts and access

• Customer accounts are opened by invitation link. Public registration may be available for freight forwarder accounts.
• You must provide accurate and current information on registration. You are responsible for the security of your login details (password) and for everything done from your account.
• Some features (for example the AI assistant) are available only on certain plans. Plans, features and prices may change. The free demo account is valid for 14 days. After the demo ends, a plan is chosen and paid for to continue; if it is not paid, the data in the account remains viewable, but creating requests, sending requests and using the AI assistant are stopped. Prices are published on the Arachi website and do not include VAT. Payment and refund terms are agreed for the chosen plan.

4. Your obligations

When using the Service you agree to:

• provide accurate and complete information about cargo, your company and documents;
• ensure the shipment complies with all applicable laws, including customs, sanctions, export and import controls and dangerous goods rules (ADR, IMDG, IATA DGR);
• send requests only for lawful purposes and lawful cargo;
• not place unnecessary sensitive information in uploaded documents, such as passwords, login details, payment card data or personal data of others;
• ensure you have the right to send messages to the carrier email addresses you use;
• not interfere with the Service, send automated bulk requests, upload malicious files or attempt to access other users' data without authorisation.

5. Messages sent on your behalf

When you send a request, ask for a reminder or choose an automatic reminder, Arachi sends request and reminder emails to the carriers you selected on your behalf and on your instruction. For RFQs with a quote deadline, carriers that have not replied may receive one automatic reminder before the deadline (you can turn this off when creating the RFQ).

You are responsible for the choice of recipients and the content of the messages, including any documents you attach.

6. AI assistant and automatic filling

The Service offers artificial intelligence (AI) features: filling a request from text or a document, and a chat assistant. AI results may be wrong, incomplete or out of date. It is your responsibility to check any request, price comparison or other result produced by AI before you send it or decide on it.

Actions prepared by the AI assistant (creating a request, sending to carriers, etc.) are carried out only with your confirmation. You are responsible for what you confirm. AI results are not legal, financial, customs or transport advice.

When you use AI features, your data is passed to the third-party AI providers described in the Privacy Policy.

7. Catalogue, price information and calculations

• Forwarder profiles in the catalogue are filled in by the companies themselves. The «Verified» badge means certain company details were checked by Arachi and is not a guarantee of a company's service quality, reliability or licence.
• Conversion of currencies to AZN uses the rate of the Central Bank of Azerbaijan and is for information only; the actual amount paid may differ according to the rate applied by the carrier and the bank.
• Past prices on a route, comparisons and statistics are based on your earlier data, are not a guarantee of a future price and should not be the only basis for a decision.

8. For carriers (those who send offers through a link)

• A carrier can send an offer from a personal or public link of a request without registering. The price, time, notes and documents sent are shown to the customer.
• The carrier is responsible for the accuracy of its offer. Arachi is not a party to the offer and is not responsible for its performance.
• With a public link, anyone who has the link can see the request details and send an offer.

9. Content and documents

You keep your rights to the information and documents you upload. You give Arachi a limited, non-exclusive right to use them to provide the Service (storage, processing, showing them to the parties you choose, reading them with AI).

Access to documents is given through time-limited signed links. You choose whether a file attached to a request is shown to carriers.

10. Availability and disclaimer

The Service is provided "as is" and "as available". We do not guarantee uninterrupted or error-free operation, that offers will be received, or any particular result. Access may be suspended or restricted for maintenance or breach of the rules.

To the maximum extent permitted by law, Arachi is not liable for indirect, incidental or consequential damages (lost profit, lost contracts, loss of data and so on).

11. Limit of liability

To the extent permitted by law, Arachi's total liability for any claim is limited to the amount you paid Arachi for the Service in the 12 months before the claim arose (the minimum amount allowed by law if nothing was paid). This limit does not apply to liability arising from intent or gross negligence or where it cannot be excluded by law.

12. Indemnity

To the extent permitted by law, you agree to protect Arachi against claims by third parties arising from your breach of the Terms or of law, or from unlawful cargo or documents you send.

13. Suspension and account deletion

You can delete your account from the panel at any time. If you breach the Terms, Arachi may restrict or suspend access to the account. Rules about data on suspension or deletion are set out in the Privacy Policy.

14. Changes to the Terms

We may update the Terms from time to time. Changes are published on this page; for material changes we may notify you by the email given at registration or inside the Service. Continuing to use the Service after a change means you accept the new Terms.

15. Governing law and disputes

The Terms are governed by the laws of the Republic of Azerbaijan. Disputes are first resolved by negotiation and, failing that, are heard in the competent court of Baku.
